Affiliate Program Terms

This Affiliate Agreement supplements the Terms of Service and governs participation in the DemiSignal Affiliate Program.
This Affiliate Agreement ("Agreement") is entered into between Demi Solutions OÜ, operating as DemiSignal ("Company", " we", "us", or "our"), and you ("Affiliate", "you", or "your"). This Agreement governs your participation in the DemiSignal Affiliate Program.
1. Enrollment
1.1. All DemiSignal users are automatically enrolled in the Affiliate Program upon creating an account.
1.2. By participating in the Affiliate Program, you agree to abide by the terms and conditions set forth in this Agreement.
2. Commission Structure
2.1. Affiliates will receive a commission on all qualifying sales made through their unique affiliate link. The standard commission rate is 30%, though your actual rate is displayed in your affiliate dashboard.
2.2. A qualifying sale is defined as a new customer purchasing any paid plan of DemiSignal through the Affiliate's unique link.
2.3. Commissions are calculated based on the net sale amount, excluding any taxes, refunds, or chargebacks.
2.4. Commission will be based on purchases made by a Qualified Referral for any new and recurring purchases for the life of the customer.
2.5. The Company reserves the right to adjust commission rates with notice to Affiliates. Your current commission rate is always visible in your affiliate dashboard.
3. Tracking and Reporting
3.1. Each Affiliate will be provided with a unique affiliate link to track referrals and sales.
3.2. The Company will track all qualifying sales and provide Affiliates with access to reports detailing their referrals and commissions.
3.3. When a potential customer clicks the Affiliate's link, we set a single first-party cookie (app_visitor)
that remains active for 30 days. This is the attribution window: a referral is credited on our servers to the
affiliate associated with the most recent qualifying visit recorded against that visitor within those 30 days (a
"last-touch" model). Attribution is reconstructed from our server-side visit records; the referring affiliate is
not stored in the cookie itself. If 30 days pass with no further visit, the browser is treated as a new visitor.
4. Payment Terms
4.1. Commissions are held for a period of 35 days from any purchase to protect the Company in the event of any refund or chargeback that may occur.
4.2. Earnings will be paid upon Affiliate's request. Affiliate can request a payment of earnings at any time under the following conditions:
- Requested affiliate earnings are finalized (35 days have passed since the payment was made);
- Affiliate has provided required information for the payment;
- Affiliate has referred at least 3 different users who have made at least one payment each.
4.3. All payments are made in USD ($).
4.4. Payments up to $1,000 will be paid via PayPal. Payments over $1,000 can be paid either via PayPal or Bank Wire Transfer.
4.5. The Company reserves the right to withhold payment in cases of suspected fraud or violation of this Agreement.
4.6. In the event that Affiliate materially breaches this Agreement and Company terminates this Agreement within 30 days of such breach, then any accrued and payable Commissions owing to Affiliate shall be forfeited, and Company shall not be obligated to pay such Commissions to Affiliate.
5. Payment Procedures
5.1. Payments to registered businesses: Affiliates who operate as a registered business (Corp., Inc., LLC, Ltd. Co., Sole proprietor, or any equivalent type of a registered business in Affiliate's country) are required to send us an official invoice for affiliate commissions owed. Commissions are paid once we receive an official invoice that contains the following information:
- Company's full information: our company name, full address of our company, our tax ID number;
- Affiliate's full information: company name or the name of a sole proprietor (individual person), full address of Affiliate, tax ID number or business registration number (whichever is applicable, or both), VAT ID number (required for businesses and sole proprietors registered in European Union);
- The current date and the exact monetary value of finalized affiliate commissions.
Once we receive the invoice with all required information, we will make the payment within 3 business days.
5.2. Payments to individual persons: In accordance with Estonian tax laws, all payouts to individual persons are subject to taxation. Affiliates who are not registered businesses are responsible for reporting and paying any applicable taxes in their own country. The Company will provide necessary documentation to support this process.
6. Affiliate Responsibilities
6.1. Affiliates must comply with all applicable laws and regulations in their promotion of DemiSignal.
6.2. Affiliates may not engage in any deceptive or misleading practices in their marketing efforts.
6.3. Affiliates may not bid on DemiSignal's trademarks or brand terms in search engine advertising.
6.4. Affiliates must clearly disclose their affiliate relationship with DemiSignal in all promotional materials.
7. Intellectual Property
7.1. The Company grants Affiliates a non-exclusive, non-transferable license to use DemiSignal's logos, trademarks, and marketing materials solely for the purpose of promoting DemiSignal through the Affiliate Program.
7.2. Affiliates may not modify any of the Company's materials without prior written consent.
8. Term and Termination
8.1. This Agreement will commence upon the Affiliate's enrollment and continue until terminated by either party.
8.2. Either party may terminate this Agreement at any time, with or without cause, by giving written notice to the other party.
8.3. The Company reserves the right to terminate an Affiliate's participation in the program immediately if the Affiliate violates this Agreement or engages in fraudulent activity.
9. Modifications to the Agreement
9.1. The Company reserves the right to modify this Agreement at any time. Changes will be effective upon posting to the DemiSignal website or notifying Affiliates via email.
9.2. Continued participation in the Affiliate Program after such changes constitutes acceptance of the modified Agreement.
10. Limitation of Liability
10.1. The Company shall not be liable for any loss of profits, loss of business, or any indirect, incidental, or consequential damages arising out of the Affiliate Program.
11. Governing Law
11.1. This Agreement shall be governed by and construed in accordance with the laws of Estonia, without regard to its conflict of law principles.
12. Miscellaneous
12.1. This Agreement constitutes the entire agreement between the parties with respect to the Affiliate Program and supersedes all prior agreements or understandings.
12.2. If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect.
By participating in the DemiSignal Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by this Affiliate Agreement.
