Please read these Terms of Service (collectively with Demi Solutions OÜ's Privacy Policy, the "Terms of Service") fully and carefully before using the services, features, and content offered by Demi Solutions OÜ ("DemiSignal", "we," "us," or "our") through its website or software applications (collectively, the "Services"). These Terms of Service set forth the legally binding terms and conditions for your use of the Services.

1. Acceptance of Terms

By accessing this website or using our Services in any manner, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our Services.

2. Use License

Permission is granted to temporarily access and use the Services on DemiSignal's website for your own internal, non-commercial-resale purposes. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the materials beyond what the Services normally produce for you;
• Resell, sublicense, or commercially redistribute the Services or their output as a competing product;
• Attempt to reverse engineer any software contained on DemiSignal's website;
• Remove any copyright or other proprietary notations from the materials; or
• Transfer the materials to another person or "mirror" the materials on any other server.

This license shall automatically terminate if you violate any of these restrictions and may be terminated by DemiSignal at any time.

3. Description of the Service

DemiSignal scans, analyses and monitors the public email-authentication configuration of domains you submit — including SPF, DKIM, DMARC and MX records — and reports the issues it detects along with recommendations. The Services are an informational and diagnostic tool. We are not your DNS provider, email host, or deliverability guarantor, and we do not make changes to your DNS on your behalf.

4. Disclaimer

The materials and scan results on DemiSignal's website are provided "as is". DemiSignal makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant the accuracy, completeness, or timeliness of any scan result, recommendation, or health score, and we do not guarantee any particular email deliverability outcome. DNS data is retrieved from third-party name servers and may be cached, incomplete, or out of date; you remain responsible for verifying your own DNS configuration before acting on it.

5. Limitations of Liability

In no event shall DemiSignal or its suppliers be liable for any damages (including, without limitation, damages for loss of data, profit, or deliverability, or due to business interruption) arising out of the use or inability to use the materials or Services, even if DemiSignal or a DemiSignal authorized representative has been notified orally or in writing of the possibility of such damage.

6. Governing Law

These Terms shall be governed and construed in accordance with the laws of Estonia, without regard to its conflict of law provisions.

7. Changes to These Terms

DemiSignal may revise these Terms of Service from time to time. Material changes will apply prospectively, and we will provide reasonable notice when required by applicable law. The updated Terms will state their effective date.

8. Plans, Pricing and Payment

DemiSignal offers a free public domain checker and a Free Scan account plan. These free services are not a trial and do not include continuous DMARC aggregate-report monitoring. Access to paid monitoring begins when your payment is approved.

Paid plans are monthly or annual subscriptions processed by Paddle, our payment provider and merchant of record. Your subscription automatically renews for the same billing interval until cancelled. You may cancel through your billing page at any time; cancellation takes effect at the end of the then-current paid billing period, and no further renewal payment will be taken.

Each plan includes stated active-domain and DMARC-passing-message allowances. Only messages that pass DMARC in aggregate reports accepted during the current calendar month count toward the message allowance. Failed or spoofed traffic is not billable. We do not charge automatic usage overages or stop accepting aggregate reports when an allowance is reached, but you may need to upgrade before adding domains or accessing capacity above your plan.

Current prices, billing intervals, plan allowances, and any applicable taxes are shown before checkout. We may change prices or plan features prospectively. If a price change affects an existing subscription, we will provide reasonable advance notice and the change will apply no earlier than a future renewal, subject to applicable law.

9. 30-Day Money-Back Guarantee

If you are not satisfied with your first paid DemiSignal subscription, you may request a refund of the initial subscription payment within 30 days after purchase by contacting [email protected]. The guarantee does not apply to renewal payments, later subscriptions, or other purchases. Refunds are processed through Paddle. Nothing in this policy limits any refund, withdrawal, or other consumer right that cannot lawfully be excluded or restricted.

10. Affiliate Program

DemiSignal users may participate in our affiliate program and earn a commission on referred sales. The standard commission rate is 30%, and your actual rate is shown in your affiliate dashboard. Full terms and conditions are set out in our separate Affiliate Agreement.

11. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of DemiSignal and its licensors. The Service is protected by copyright, trademark, and other laws of Estonia and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

12. User Conduct

You agree not to use the Service:

• In any way that violates any applicable national or international law or regulation.
• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail", "chain letter," "spam," or any other similar solicitation.
• To impersonate or attempt to impersonate DemiSignal, a DemiSignal employee, another user, or any other person or entity.
• In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity.

13. Acceptable Use of Scanning

The Service queries publicly available DNS records. You agree that:

• The free public checker performs one-off checks of the publicly published DNS records of a domain you submit. You may use it to check any domain, but you must not use it to probe, attack, or harvest data at scale, or for any unlawful purpose.
• Continuous monitoring and scheduled re-scanning are intended for domains that you own or are otherwise authorized to assess. By adding a domain for ongoing monitoring you confirm you have the right to do so.
• You will not use the Service in any manner that places an unreasonable or disproportionately large load on our infrastructure, including automated or bulk submissions to the free checker outside of any documented plan limits.
• We may apply rate limits to the free checker and to scans, and we may throttle, suspend, or block usage that we reasonably believe is abusive, automated beyond permitted limits, or in breach of these Terms.

14. Termination

We may terminate or suspend your access to our Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you cancel a paid subscription, paid access and scheduled monitoring continue through the end of the current billing period. When that period ends, the workspace moves to the Free Scan plan and continuous monitoring stops. If your account is terminated, access may be disabled immediately. Data associated with your account may be deleted after the retention period specified in our Privacy Policy.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

15. Data Protection

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy for more information on how we collect, use and disclose information from our users.

16. Dispute Resolution

If you have any concern or dispute about the Service, you agree to first try to resolve the dispute informally by contacting DemiSignal. If a dispute is not resolved within 30 days of submission, any resulting legal actions must be resolved through final and binding arbitration, except that you may assert claims in small claims court if your claims qualify.

17. Indemnification

You agree to defend, indemnify, and hold harmless DemiSignal, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney's fees and costs, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of any third party.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and DemiSignal regarding the use of the Service, and supersede all prior agreements and understandings, whether written or oral, regarding such subject matter.
